URBANGO TERMS OF LISTING

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE URBANGO PLATFORM

1. Definitions and Interpretation

1.1 In these Terms of Listing (“Terms”), unless the context otherwise requires:
  (a) “Urbango” means Urbango Tech LLP, a limited liability partnership incorporated under the Limited Liability Partnership Act, 2008, having its registered office at 54/7 – Awfis Space Solutions, Vajram Esteva, Devarabisannahalli, Outer Ring Road – 560103, Bengaluru, Karnataka.;
  (b) “Platform” means the Urbango local search directory website and mobile application;
  (c) “User” means any person who accesses or uses the Platform, including but not limited to individuals listing their own businesses or acting on behalf of other businesses;
  (d) “Listing” means any business information, content, or data submitted to the Platform.

1.2 These Terms shall be governed by and construed in accordance with the laws of India.

2. Acceptance of Terms

2.1 By accessing or using the Platform, the User expressly agrees to be bound by these Terms and Urbango’s Privacy Policy, which is incorporated herein by reference.

2.2 If the User does not agree to these Terms, they must immediately cease all use of the Platform.

3. Eligibility and Authority

3.1 The User represents and warrants that they are at least 18 years of age and possess the legal capacity to enter into these Terms under the Indian Contract Act, 1872.

3.2 If acting on behalf of a business entity, the User represents and warrants that they have the necessary authority to bind such entity to these Terms.

4. Account Creation and Management

4.1 The User shall provide accurate, current, and complete information during the account registration process and keep such information updated.

4.2 The User shall be solely responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

5. Listing Submission and Content

5.1 The User represents and warrants that all information provided in a Listing is true, accurate, current, and complete.

5.2 The User grants Urbango a non-exclusive, worldwide, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content of the Listing in connection with the Platform and Urbango’s business.

5.3 The User shall indemnify and hold harmless Urbango against any claims arising from false, misleading, or inaccurate information provided in a Listing.

6. Prohibited Content

6.1 The User shall not submit any Listing that:
  (a) Violates any applicable Indian law, including but not limited to the Information Technology Act, 2000;
  (b) Infringes upon any intellectual property rights protected under the Copyright Act, 1957, or the Trade Marks Act, 1999;
  (c) Contains obscene or defamatory content as defined under the Indian Penal Code, 1860;
(d) Promotes illegal activities or substances prohibited under the Narcotic Drugs and Psychotropic Substances Act, 1985.

7. Verification and Authorization

7.1 Urbango reserves the right to verify the User’s authority to submit a Listing and may require additional documentation as proof of such authority.

7.2 For Listings submitted on behalf of third parties, the User shall obtain and provide written authorization upon Urbango’s request.

8. Intellectual Property Rights

8.1 All intellectual property rights in the Platform shall remain the property of Urbango or its licensors.

8.2 The User retains ownership of the content submitted in their Listing but grants Urbango the rights specified in Clause 5.2.

9. Limitation of Liability

9.1 To the fullest extent permitted by applicable law, Urbango shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

9.2 Urbango’s total liability arising out of or relating to these Terms shall not exceed the amount paid by the User, if any, to Urbango for the use of the Platform in the 12 months preceding the cause of action.

10. Indemnification

The User agrees to indemnify, defend, and hold harmless Urbango, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:
(a) The User’s violation of these Terms;
(b) The User’s use of the Platform;
(c) Any Listing submitted by the User.

11. Modifications and Termination

11.1 Urbango reserves the right to modify or terminate the Platform or these Terms at any time without notice.

11.2 Urbango may remove any Listing or terminate the User’s access to the Platform for violation of these Terms or for any other reason at its sole discretion.

12. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [City], India.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between the User and Urbango regarding the use of the Platform and supersede all prior agreements and understandings, whether written or oral.

By using the Urbango Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Listing.
